Imagica is committed to transparent, fair, and legally sound licensing. Below is our comprehensive licensing structure detailing our source-available community model, desktop application EULA, third-party open-source notices, model compliance standards, and creator output rights.

1. Architecture Overview & Component Boundaries

Imagica Desktop is engineered as a modular, hardware-adaptive visual AI system. To maintain strict compliance with open-source licenses and commercial integrity, our repository distinguishes between distinct licensing layers:

  • Core Engine & API (Source-Available): Licensed under the Imagica Community License (v1.0). It provides free access for personal, academic, and eligible commercial users, with an enterprise commercial threshold for organizations exceeding $1,000,000 USD in revenue or funding.
  • Packaged Desktop Binaries: Distributed as compiled binaries under the Imagica Desktop End User License Agreement (EULA).
  • Decoupled Neural Runtime (GPL-3.0): Utilizes a standalone, decoupled ComfyUI execution daemon running in an isolated background process over loopback HTTP/WebSocket IPC.
  • Open-Source SDK Modules (Apache 2.0): Specific open client adapters and workflow utilities explicitly marked with Apache 2.0 notices.
  • Third-Party Model Weights: Foundation models downloaded on demand carry their original creator licenses (OpenRAIL-M, Stability Community, Apache 2.0, or Non-Commercial).

2. Imagica Community License (v1.0)

The Imagica Community License is a source-available license designed to balance broad creator accessibility with sustainable commercial growth. It is not an OSI-approved open-source license because it includes an enterprise commercial threshold and responsible AI usage restrictions.

Grant of Rights: Eligible users receive a worldwide, royalty-free, non-exclusive license to run, study, modify, and build custom nodes or extensions for the software. Unmodified and modified source code may be redistributed provided that all copyright notices, license headers, and modification notices are maintained.

Trademark Boundary: Sublicensing or redistributing modified versions under the "Imagica" trademark, name, or emblem is strictly prohibited without prior written authorization.

3. The $1,000,000 USD Commercial Eligibility Threshold

Commercial use of Imagica Desktop is 100% free and royalty-free for independent creators, freelancers, and businesses that meet our objective eligibility test:

Commercial Eligibility Rule:

An individual or commercial entity qualifies for free commercial use IF AND ONLY IF NEITHER of the following conditions is met:

  1. Consolidated Gross Revenue in the trailing 12-month period meets or exceeds USD $1,000,000; OR
  2. Aggregate Qualifying Funding (equity, venture capital, convertible debt) meets or exceeds USD $1,000,000.

Enterprise Licensing: Entities meeting or exceeding either threshold require an Imagica Enterprise Commercial Agreement. A 30-day transition grace period is provided upon crossing the threshold, and all previously generated outputs remain permanently grandfathered.

4. Output Rights, Ownership & Copyright Realities

Zero Imagica Ownership: Imagica claims NO ownership, copyright, or royalty rights in any images, media, or creative works you generate. We charge zero per-generation fees or revenue cuts.

Legal Copyright Realities: The legal ability to obtain copyright or exclusive ownership over AI outputs is determined by statutory law and intellectual property authorities (such as the Indian Copyright Office or US Copyright Office), which generally require human creative authorship. Imagica provides no warranty that outputs are copyrightable or free from third-party IP claims.

Model-Specific Restrictions: Certain model weights (such as FLUX.1-dev or FLUX.1-Fill) are restricted to non-commercial use by their creators. When generating with those models, outputs may not be commercialized under the creator's upstream terms.

5. Technical Privacy & Network Data Flows

We distinguish between local desktop execution and web-hosted services:

  • Local Desktop Generation: The inference engine executes natively on your GPU or CPU. Prompts, seeds, latents, and generated images remain stored on your local drive and are never transmitted to Imagica servers.
  • On-Demand Model Downloads: When you choose to install a model, the application connects directly to Hugging Face Hub (huggingface.co) to download safetensors weights.
  • Web Application & Authentication: If you use cloud accounts on imagica.co.in, web authentication (Firebase Auth), account profile sync (/api/user/sync), and web analytics operate as detailed in our Privacy Policy.

6. Third-Party Open Source Notices & GPL-3.0 Compliance

Imagica honors and complies with all third-party open-source software licenses:

Decoupled Neural Daemon (ComfyUI - GPLv3): Our backend orchestrates neural execution via an isolated, standalone headless daemon (engine/neural_engine) licensed under the GNU General Public License v3.0. Communication occurs strictly over loopback HTTP and WebSocket IPC on 127.0.0.1:8189, maintaining architectural separation from proprietary components. In accordance with GPLv3 Section 6, full Corresponding Source code is accessible in our repository.

Permissive Dependencies: PyTorch, Hugging Face Diffusers, Transformers, FastAPI, React, and other open dependencies are utilized in full compliance with their respective permissive licenses (BSD, Apache 2.0, MIT).

7. AI Model Library Compliance

Imagica supports 75+ state-of-the-art foundation models. To ensure legal transparency, models in our catalog are audited and classified:

  • Commercial Use Permitted (70 Models): Models licensed under CreativeML OpenRAIL-M, Apache 2.0, MIT, or BSD (e.g., RealVisXL V5.0, FLUX.1-schnell, Juggernaut XL V9, SANA 1.6B).
  • Non-Commercial Only (2 Models): FLUX.1-dev and FLUX.1-Fill, governed by Black Forest Labs non-commercial licenses.
  • Revenue Gated (3 Models): Stability AI SD 3.5 series, governed by the Stability Community License (<$1M revenue threshold).
  • Platform Gated (1 Model): Lumina-Next-T2I, governed by Google Gemma Terms of Use.

8. Desktop Application End User License Agreement (EULA)

The compiled binary application for Windows, macOS, and Linux is governed by the Imagica Desktop EULA. It grants a personal, revocable, non-transferable license to install and execute the application. Reverse engineering, malicious crack distribution, and unauthorized commercial repackaging under the Imagica brand are prohibited.

9. Acceptable Use Policy & Safety Restrictions

Users are strictly prohibited from using Imagica to generate or assist in generating:

  • Child sexual abuse or exploitation material (CSAM/CSAE).
  • Non-consensual sexually explicit deepfakes or impersonations.
  • Chemical, biological, radiological, or nuclear (CBRN) weapons synthesis.
  • Malicious software, exploits, automated phishing, or cyber-attacks.
  • Targeted harassment, criminal fraud, or hate violence.

10. Governing Law, Disclaimers & Jurisdiction

Governing Law: This licensing framework is governed by the laws of India. Any legal disputes are subject to the exclusive jurisdiction of the competent courts in India.

Statutory Rights: Nothing in these terms limits or waives non-excludable statutory rights under the Indian Consumer Protection Act, 2019, or the Digital Personal Data Protection Act, 2023.
